Nilam Resources Announces Letter of Intent to Acquire 24,800 Bitcoin

Nilam Resources, Inc. has entered into a Letter of Intent (LOI) with Xyberdata Ltd to acquire 100% of the common stock of a special purpose entity called MindWave. The company holds 24,800 Bitcoins, which are used as collateral for investments in high-yield projects. Nilam Resources, Inc. (OTC PINK: NILA) announced that it has entered into a Letter of Intent (LOI) with Xyberdata Ltd to acquire 100% of the common stock of a special purpose entity called MindWave. The company will hold 24,800 Bitcoin, which will serve as collateral to raise capital to invest in high-yield projects.

Under the agreement, Nilam Resources, Inc. will issue newly authorized Series C Preferred Stock in exchange for 24,800 Bitcoins at a discount compared to the current market price. The acquisition of MindWave, a Mauritius-based special purpose entity, will bring digital assets, including 24,800 bitcoins, into the hands of Nilam Resources, Inc. These assets will be utilized to raise capital for strategic investments.

MindWave’s shareholders will exchange their shares for a new class of preferred stock (Class C) approved and issued by Nilam Resources, Inc.

The newly authorized Preferred Stock (Class C) will grant holders the right to convert upon listing on Nasdaq or another national exchange or upon the occurrence of other defined liquidity events. These shares are issued proportionately to shareholders. All Class C shares of Preferred Stock issued pursuant to the transactions contemplated herein will be considered “restricted securities” as defined in Rule 144 under the Securities Act of 1933, as amended.
